Terms of Use

These Terms of Use ("Terms") are a legal agreement between you (and, if you use the Service on behalf of an organization, that organization — together, "you") and DataParade, Inc. ("DataParade", "we", "us", or "our") governing your access to and use of our website at dataparade.io, our web application, our command-line interface (CLI), our APIs, and related services (together, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

Our Privacy Policy explains how we handle personal data and is incorporated into these Terms by reference.

1. The Service

DataParade produces dataflow and risk diagrams with embedded security and privacy properties. The Service lets you scan code — via uploaded archives, connected Git repositories, or the CLI — to generate diagrams, assess risk, collaborate with your team in workspaces, and produce agent-ready context.

The Service is provided on an evolving basis. We may add, change, suspend, or remove features at any time. Some features may be offered as beta, preview, or early access and are addressed in Section 12.

2. Eligibility and accounts

• You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service.
• Authentication is handled through Auth0 (passwordless email and/or third-party identity providers). You are responsible for maintaining the security of your sign-in method and for all activity that occurs under your account.
• You agree to provide accurate account information and to keep it current.
• Notify us promptly at support@dataparade.io if you suspect unauthorized access to your account.

3. Workspaces, members, and roles

• The Service organizes work into workspaces. A workspace may have multiple members with different roles (e.g., owner, member) and permissions.
• Workspace owners and administrators control membership, invitations, roles, and settings, and may access, modify, export, or delete content within their workspace, including content created by other members.
• If you accept an invitation to a workspace controlled by an organization, that organization's administrators control that workspace and may have additional terms governing your use. You are responsible for your conduct within any workspace you join.
• You are responsible for managing your workspace API keys and for all activity performed using them. Keep API keys confidential; you can revoke a key at any time.

4. Your Content and the rights you grant

"Your Content" means the code, repositories, archives, project data, diagrams, comments, configuration, and other materials you submit to or generate through the Service.

• Ownership. As between you and DataParade, you (or your licensors) retain all rights, title, and interest in and to Your Content. We claim no ownership of it.
• License to operate the Service. You grant DataParade a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, analyze, display, and create derived artifacts (such as diagrams and inferred properties) from Your Content solely to provide, secure, maintain, and improve the Service for you and your workspace, and as otherwise instructed by you. This license ends when Your Content is deleted, except for residual backups and as required by law.
• No training on Your Content without permission. We do not use Your Content (including your code) to train our own or third parties' general-purpose machine-learning models. Where the Service performs AI inference, it does so to generate output for you — see Section 6.
• Your responsibilities. You represent and warrant that you have all rights necessary to submit Your Content and to grant the license above, and that Your Content and our processing of it do not violate any law or third-party right (including intellectual property, privacy, confidentiality, or contractual obligations). Do not submit code or data you are not authorized to share, and do not submit personal data, secrets, or regulated data you are not permitted to process.

5. Connected third-party accounts (GitHub, GitLab)

• You may connect a Git provider (such as GitHub or GitLab) to scan your repositories. When you do, you authorize DataParade to access the repositories and data covered by the scopes you grant.
• Your use of those third-party services is governed by their own terms and privacy policies. You are responsible for your connected accounts and for revoking access when you no longer want the Service to use them.
• You may disconnect a provider at any time; doing so may limit related functionality.

6. AI features and scanning

• The Service uses automated analysis and third-party large language models (currently Anthropic) to infer security and privacy properties and generate diagram content from the code and data you submit.
• AI output may be inaccurate, incomplete, or out of date. Inferred properties, risk assessments, and generated context are provided as informational aids and must not be relied upon as legal, security, compliance, or professional advice. You are responsible for independently reviewing and validating any output before relying on it.
• DataParade does not warrant that scanning will detect all risks, vulnerabilities, or data flows, or that it will produce any particular result.

7. Acceptable use

You agree not to, and not to permit anyone else to:

• Use the Service in violation of any applicable law or regulation, or to infringe or misappropriate any third party's rights;
• Submit code or data you are not authorized to process, or that contains malware, or use the Service to develop or distribute malware;
• Access or scan systems, repositories, or data you do not own or are not authorized to access;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems or networks; probe, scan, or test the vulnerability of the Service except under a program we authorize in writing;
• Interfere with or disrupt the integrity or performance of the Service, or circumvent usage limits, quotas, rate limits, or security measures;
• Reverse engineer, decompile, or attempt to extract source code from the Service, except to the extent this restriction is prohibited by law;
• Resell, sublicense, or provide the Service to third parties except as expressly permitted, or use it to build a competing product;
• Use the Service to harass, abuse, or harm others, or to upload unlawful, defamatory, or infringing content;
• Use automated means to access the Service in a manner that exceeds reasonable use or that we do not authorize.

We may investigate and take appropriate action, including suspending or terminating access, for violations of this section.

8. Service feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant DataParade a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate the Feedback without restriction or obligation to you.

9. Intellectual property in the Service

The Service, including its software, design, text, graphics, and trademarks (but excluding Your Content), is owned by DataParade or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. We reserve all rights not expressly granted.

10. Third-party services

The Service relies on third-party providers (including, among others, Auth0, Amazon Web Services, SendGrid, Sentry, Anthropic, Google Analytics, CookieYes, and your connected Git providers) as described in our Privacy Policy. We are not responsible for the acts, omissions, availability, or content of third-party services, and your use of them may be subject to their terms.

11. Fees

The Service may be offered free of charge, subject to usage limits, or under a paid plan. If we introduce paid plans or charges, we will present the applicable pricing and payment terms before you incur any charge, and those terms will form part of these Terms. Usage limits and quotas may apply regardless of plan — see Section 12.

12. Beta features and usage limits

• Beta / preview features are provided "as is", may be changed or discontinued at any time, and may be less reliable than generally available features. We may collect feedback and usage data to improve them.
• Usage limits and quotas apply to the Service, including limits on the number of scans and on platform AI token usage per workspace and per job. We may adjust, enforce, or change these limits, and may throttle, queue, or block activity that exceeds them. We may also impose rate limits to protect the Service.

13. Suspension and termination

• By you. You may stop using the Service at any time and may request deletion of your account and content as described in our Privacy Policy.
• By us. We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if you violate these Terms, if your use poses a risk to the Service or others, if required by law, or if we discontinue the Service.
• Effect of termination. Upon termination, your right to use the Service ceases. We may delete Your Content following termination, subject to our retention practices and applicable law. Sections that by their nature should survive (including Sections 4 ownership, 8, 9, 14–18) survive termination.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT IT WILL DETECT ALL RISKS OR PRODUCE ACCURATE OR COMPLETE RESULTS. YOU USE THE SERVICE AT YOUR OWN RISK.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAPARADE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAPARADE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DATAPARADE FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless DataParade and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party right. This section does not apply to the extent a claim arises from our gross negligence or willful misconduct, or where prohibited by law.

17. Governing law and disputes

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or related to these Terms or the Service will be the state and federal courts located in California, and you consent to their jurisdiction. Nothing in this section affects any mandatory consumer-protection rights you may have in your country of residence.

18. General

• Entire agreement. These Terms and the documents referenced in them are the entire agreement between you and DataParade regarding the Service and supersede prior agreements on that subject.
• Changes to these Terms. We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where required, provide notice. Your continued use of the Service after changes take effect constitutes acceptance.
• Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
